Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") are an agreement between you and VideoDraft AI Inc. ("VideoDraft," "we," "our," or "us"). They govern your use of our website at videodraft.ai, VideoDraft Studio at app.videodraft.ai, the VideoDraft ADE app for Mac (including VideoDraft Editor and VD Code), the videodraft command line tool, our MCP connector and API, and any related services (together, the "Services"). By creating an account or using the Services, you agree to these Terms, our Privacy Policy, and our Acceptable Use Policy. If you do not agree, do not use the Services.

2. Eligibility

You must be at least 18 years old to use the Services. If you use the Services on behalf of a company, you confirm that you have authority to bind that company to these Terms, and "you" includes that company.

3. Your Account

You need a VideoDraft account to use most of the Services, including VideoDraft ADE. Keep your login details secure and tell us right away if you think someone else has used your account. You are responsible for activity under your account, including activity by agents and tools you run through it.

4. Plans, Credits, and Billing

4.1 Subscriptions

Paid plans are billed in advance, monthly or annually, and renew automatically until you cancel. You can cancel at any time from your account settings. Cancellation takes effect at the end of the current billing period, and you keep access until then. We do not refund the unused part of a billing period unless the law requires it.

4.2 Plan Changes

When you upgrade or downgrade between paid plans, the change takes effect immediately. We charge or credit the difference for the remainder of the period on a prorated basis and start a new billing period.

4.3 Credits

• Media generation (images, video, voice, music, 3D, and similar features) uses credits. The cost depends on the model, settings, and output length, and we show it before you generate where we can.
• Paid plan credits reset every month, including on annual plans, and unused plan credits do not carry over. When a paid plan ends, its remaining plan credits end with it. Starter's free credits are a one-time grant and do not reset.
• Credits you buy separately (top-ups) do not expire and are used after your plan credits. Top-up purchases are final.
• If you turn on auto top-up, we charge your saved card for the amount you chose whenever your balance falls below your threshold. You can change or turn this off in your settings at any time. Auto top-up stays on until you turn it off, even if you cancel your plan.
• Credits have no cash value and cannot be transferred or refunded, except where the law requires.
• If a generation fails because of an error on our side or the model provider's side, we normally return the credits. Some providers charge for every attempt, including requests they block. We mark those models in the product, and their failed generations are not refunded.

4.4 VD Code

VD Code is a managed coding agent included with VideoDraft plans. It has its own usage limits, which we describe on the pricing page and may change with notice. Where we offer extra usage beyond those limits, it is billed in credits.

4.5 Price Changes

We may change our prices. We will give you at least 30 days' notice by email or in the product before a price change applies to your subscription, so you can cancel before it takes effect.

4.6 Refunds

Fees are non-refundable except where these Terms or the law say otherwise. We may grant a refund at our discretion if you ask within 14 days of a charge and have used little or none of what you paid for.

4.7 Taxes

Prices exclude taxes unless we say otherwise. You are responsible for any sales, VAT, or similar taxes that apply to your purchase.

5. VideoDraft ADE (Mac App)

5.1 License

We grant you a personal, non-exclusive, non-transferable, revocable license to install and use VideoDraft ADE on Macs you own or control, in line with these Terms. You may not copy, modify, reverse engineer, or redistribute the app except where the law allows. The app includes open-source components that are licensed under their own terms, which are listed in the app.

5.2 Updates

The app checks for updates and downloads them automatically. Updates install when you restart the app, or automatically if you turn that on. You agree to receive updates this way. We may also require an update to keep using the app.

5.3 Your Local Data

Your chats, tasks, projects, terminals, and checkpoints are stored on your Mac. We do not back them up. Keep your own backups of any files you care about, and use version control for code. The app may create hidden git references and write agent configuration and skill files in your home folder as part of normal operation.

5.4 Third-Party Agents and Your Own Accounts

VideoDraft ADE lets you run AI agents such as Claude Code (Anthropic), Codex (OpenAI), Grok Build (xAI), and OpenCode using your own accounts, subscriptions, or API keys. When you do:

• Your use of each agent is governed by that provider's terms and usage policies, and you must follow them. Billing and usage limits for those accounts are between you and the provider.
• Your prompts, files, and code go from your Mac directly to that provider. We do not control how the provider handles your data. See our Privacy Policy for details.
• VideoDraft is not affiliated with, endorsed by, or responsible for these providers. Their features may change or stop working at any time.
• You may not share accounts, use accounts you are not entitled to, or use the app to get around a provider's limits or restrictions.

5.5 Agent Actions

Agents can run commands, read, write, and delete files, use git, control apps and browser tabs (Computer Use), and run on a schedule without you present. You choose what the agents can do through the permission modes and settings in the app, and you are responsible for the results, including changes to your files and systems, actions taken in other apps and websites, and anything sent to third parties. Review what an agent proposes before you allow it, and do not give agents access to systems or data you cannot afford to lose. To the fullest extent permitted by law, we are not liable for loss or damage caused by actions agents take on your behalf.

5.6 VD Code

VD Code runs on third-party AI models (currently from Google) through VideoDraft's servers. Your requests, including code and files the agent reads, are sent to the model provider to generate a response. VD Code is for users 18 and over and must not be used for anything that violates the model provider's usage policies.

5.7 Preview Features

Computer Use, remote control, scheduled tasks, and other features we mark as beta or preview may change, break, or be removed without notice. Use them with care.

6. CLI, MCP Connector, and API

The videodraft command line tool and the MCP connector let you use the Services from your terminal, scripts, and AI assistants. Access tokens and personal access tokens are tied to your account, and you are responsible for keeping them secret and for everything done with them. You can revoke them from the web app. We may apply rate limits. The source code of the CLI is published under an open-source license, but your use of the Services through it is still governed by these Terms.

7. Your Content

You keep ownership of the content you upload or create with the Services, such as scripts, images, audio, video, code, and prompts ("User Content"). So that we can run the Services, you give us a worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, and display your User Content, including sending it to the third-party model providers that power the feature you use, and showing it to people you share it with. This license ends when you delete the content or your account, except for copies in routine backups and content you have shared publicly that others have already copied.

We do not use your User Content to train AI models.

You confirm that you own or have the rights to use your User Content, that it does not violate anyone else's rights, and that you have permission from any real person whose face, voice, or likeness appears in it.

8. AI-Generated Output

The Services use third-party AI models to generate content ("Output") from your prompts and materials. As between you and VideoDraft, and as long as you follow these Terms and pay any fees due, we assign to you whatever rights we may have in your Output. Commercial use of Output is included on every paid plan (Pro, Visionary, Studio and Crew). On the free Starter plan, Output is for personal and non-commercial use. Output you created while on a commercial plan stays licensed for commercial use.

You understand that:

• Output is generated automatically and may be inaccurate, inappropriate, or similar to Output generated for other users. We do not guarantee that Output is original or does not infringe anyone's rights.
• Content generated entirely by AI may not be protected by copyright in some countries, including the United States. The rights you get in Output are limited to the rights we have.
• You are responsible for reviewing Output before you use or publish it, for any permissions your use requires, and for following laws that require you to disclose AI-generated content.

9. Sharing and Teams

If you create a public link to a project or session, anyone with the link can view it without signing in, and people who sign in may be added as viewers. Turning the link off stops new visitors, but copies people have already made are outside our control. In a team workspace, workspace owners and admins can manage settings, members, and access to workspace projects, and can turn on Enterprise data privacy for everyone in the workspace.

10. Acceptable Use

You must follow our Acceptable Use Policy, which is part of these Terms. In short: no illegal content, no sexual content, no content that sexualizes or endangers minors, no cloning or depicting a real person's voice or likeness without their permission, no deception or harassment, no abuse of the Services or of the AI providers we work with, and no attempts to get around limits or safety measures.

11. Intellectual Property

The Services, including their software, design, and content (other than User Content and Output), belong to VideoDraft and its licensors. You may not use our name, logos, or trademarks without our written permission. If you send us feedback or suggestions, we may use them without any obligation to you. We respond to copyright complaints under our DMCA / Copyright Policy and may close the accounts of repeat infringers.

12. Third-Party Services

The Services rely on third-party providers, including AI model providers, cloud hosting, and payment processing, and may link to third-party websites. We are not responsible for third-party services, and their terms apply to your use of them.

13. Suspension and Termination

You can stop using the Services at any time and can ask us to delete your account by emailing contact@videodraft.ai. We may suspend or terminate your access if you break these Terms or the Acceptable Use Policy, if we must for legal or security reasons, or if we stop offering the Services. Where we reasonably can, we will tell you why and give you a chance to respond. If we close your account without cause, we will refund any prepaid fees for the unused part of your billing period. Sections that by their nature should survive termination, such as ownership, disclaimers, limitation of liability, and indemnification, will survive.

14. Disclaimers

The Services are provided "as is" and "as available." To the fullest extent permitted by law, we make no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not promise that the Services or any AI provider will be available, error-free, or secure, or that Output will meet your needs.

15. Limitation of Liability

To the fullest extent permitted by law, VideoDraft and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill, arising from your use of the Services, actions taken by AI agents on your behalf, or third-party services. Our total liability for all claims relating to the Services is limited to the greater of the amount you paid us in the 12 months before the claim or 100 US dollars. Some jurisdictions do not allow some of these limitations, so they may not all apply to you.

16. Indemnification

You agree to defend and indemnify VideoDraft and its officers, employees, and agents against claims, damages, and expenses (including reasonable legal fees) arising from your User Content, your Output, your use of the Services, actions taken by agents under your account, or your breach of these Terms or the law.

17. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law rules. Any dispute that we cannot resolve informally will be brought in the state or federal courts located in Delaware, and you consent to their jurisdiction. To the extent the law allows, disputes will be resolved on an individual basis and not as part of a class or representative action. If you are a consumer in a country whose laws give you rights that these Terms cannot limit, those rights still apply.

18. Changes to These Terms

We may update these Terms. For material changes we will give you notice by email or in the product at least 14 days before they take effect, unless a change is needed sooner for legal or security reasons. If you keep using the Services after the change takes effect, you accept the updated Terms.

19. General

• These Terms, together with the policies they reference, are the whole agreement between you and us about the Services.
• You may not transfer these Terms. We may transfer them as part of a merger, acquisition, or sale of assets.
• You must comply with US export control and sanctions laws and may not use the Services if you are in a country or on a list subject to US sanctions.
• If any part of these Terms is found unenforceable, the rest stays in effect. If we do not enforce a right, that is not a waiver.
• We may send notices by email to the address on your account or by posting in the product.
