1. Acceptance of Terms

Welcome to VideoDraft AI Inc. These Terms of Service ("Terms") govern your access to and use of the VideoDraft AI Inc. website, products, and services ("Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

2. Eligibility

You must be 18 years or older to use the Services. You are responsible for compliance with your local laws.

3. Changes to Terms

We may modify the Terms at any time, at our sole discretion. If we do so, we'll let you know either by posting the modified Terms on the Site or through other communications. If you continue to use the Services after we've notified you, you're agreeing to be bound by the modified Terms.

4. Account Registration and Security

To use certain features of our Services, you may be required to register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

You are responsible for safeguarding your password and for all activities that occur under your account. You should notify us immediately if you become aware of any breach of security or unauthorized use of your account.

5. Services and Billing

5.1 Subscription Services

Some of our Services are billed on a subscription basis ("Subscription Services"). For Subscription Services, you will be billed in advance on a recurring and periodic basis ("Billing Cycle"). Billing Cycles are typically monthly or annual, depending on the subscription plan you select.

5.2 Automatic Renewal

At the end of each Billing Cycle, your subscription will automatically renew under the same conditions unless you cancel it or we terminate it. You may cancel your subscription at any time through your account settings or by contacting our customer support team.

5.3 Fee Changes

We may, at our sole discretion, modify our fees for Subscription Services. Any fee change will become effective at the end of the then-current Billing Cycle. We will provide you with reasonable prior notice of any change in fees to give you an opportunity to terminate your subscription before such change becomes effective.

5.4 Refunds

Certain refund requests for Subscription Services may be considered on a case-by-case basis and granted at our sole discretion.

5.5 Credits, Unlimited Plans, and Fair Use

Most AI generation features consume credits, which are allocated according to your plan, refresh periodically, and (except where expressly stated) do not roll over. Certain plans include "unlimited" generation for designated models. Unlimited usage is provided for individual, human use and is subject to our Fair Use & Unlimited Usage Policy, which may apply relaxed (lower-priority) rates to very high-volume usage and prohibits automation, account sharing, and reselling. We do not disclose exact credit values or usage thresholds, and we may adjust them, and the models included in unlimited usage, at any time. We may restrict, throttle, or revoke unlimited access, or suspend accounts, for abuse of this policy.

6. Beta Status

Some or all of our Services may be in beta phase. The Services are provided "as is" without warranties or guarantees. We may suspend or modify functionality at our discretion.

7. User Content

Our Services may allow you to upload, submit, store, send, or receive content ("User Content"). You retain ownership of any intellectual property rights that you hold in that User Content.

When you upload, submit, store, send, or receive User Content to or through our Services, you give VideoDraft AI Inc. a worldwide license to use, host, store, reproduce, modify, create derivative works, communicate, publish, publicly perform, publicly display, and distribute such User Content for the purpose of:

• Operating and improving the Services
• Internal research and AI model training (anonymized where appropriate)

You represent and warrant that:

• You own the User Content or have the right to use it and grant us the rights and license as provided in these Terms.
• The User Content does not infringe or violate the intellectual property rights or any other rights of anyone else.

8. AI-Generated Content and Outputs

The Services use artificial intelligence, including third-party AI models, to generate content such as scripts, images, audio, and video ("Output") based on the prompts, instructions, and materials you provide ("Input").

As between you and VideoDraft, and subject to your compliance with these Terms and payment of applicable fees, we assign to you all right, title, and interest we may have in the Output you generate, so that you may use it for personal and, on eligible paid plans, commercial purposes. You retain responsibility for your Input and your use of the Output.

You acknowledge that:

• Output is generated automatically, may be inaccurate or inappropriate, and is provided on an "as is" basis without warranty.
• Due to the nature of AI, Output may not be unique, and similar or identical Output may be generated for other users. We do not guarantee that Output is original or does not infringe the rights of others.
• The legal status and copyright-eligibility of AI-generated content vary by jurisdiction and may be limited or unavailable. You are responsible for determining whether your use of Output is lawful and for securing any rights, releases, or permissions required for your Input and intended use.
• Your generation and use of Output must comply with our Acceptable Use Policy.

9. Prohibited Uses

You may not use our Services for any purpose that is illegal, unethical, or prohibited by these Terms, or to solicit others to perform or participate in any unlawful acts. Your use of the Services is also governed by our Acceptable Use Policy, which is incorporated into these Terms and describes prohibited content and conduct in detail, including rules regarding adult/NSFW content, the depiction of real people, and harmful or illegal material.

Prohibited uses include, but are not limited to:

• Using the Services to violate any law, statute, ordinance, or regulation.
• Using the Services to infringe upon or violate our intellectual property rights or the intellectual property rights of others.
• Using the Services to transmit or send unsolicited or unauthorized advertising, promotional materials, junk mail, spam, or any other form of solicitation.
• Using the Services in a manner that could damage, disable, overburden, or impair any portion of the Services, or interfere with any other party's use and enjoyment of the Services.
• Using automated scripts, bots, or other unauthorized means to collect information from or otherwise interact with the Services.
• Impersonating another person or otherwise misrepresenting your affiliation with a person or entity.
• Using the Services to upload or transmit viruses, malware, or other types of malicious software.
• Using the Services to collect or track the personal information of others.
• Misusing or reverse-engineering the Services.

10. Intellectual Property

The Services and their original content (excluding User Content), features, and functionality are and will remain the exclusive property of VideoDraft AI Inc. and its licensors. The Services are protected by copyright, trademark, and other laws of both the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of VideoDraft AI.

We respect the intellectual property rights of others. If you believe content on the Services infringes your copyright, please follow the process in our DMCA / Copyright Policy. We may suspend or terminate the accounts of repeat infringers.

11. Global Compliance

By using our Services, you acknowledge that:

• The platform is operated from the United States
• Your data may be processed outside your country, including in the U.S.
• You are responsible for compliance with your local laws

12. Termination

We may terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including but not limited to a breach of the Terms, our Acceptable Use Policy, or our Fair Use & Unlimited Usage Policy. This includes, without limitation, generating or distributing prohibited content (such as NSFW or other content described in the Acceptable Use Policy), abusing unlimited usage or attempting to circumvent usage limits, and other misuse of the Services. We may also restrict or revoke specific features (including unlimited access) without terminating your account.

If you wish to terminate your account, you may simply discontinue using the Services or contact us to request account deletion.

All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Limitation of Liability

In no event shall VideoDraft AI Inc., nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from (i) your access to or use of or inability to access or use the Services; (ii) any conduct or content of any third party on the Services; (iii) any content obtained from the Services; and (iv) unauthorized access, use, or alteration of your transmissions or content, whether based on warranty, contract, tort (including negligence), or any other legal theory, whether or not we have been informed of the possibility of such damage.

To the fullest extent permitted by law:

• We are not liable for indirect or consequential damages
• Your use of the Services is at your own risk
• If liability is found, it will be limited to $100 USD

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages, so some of the above limitations may not apply to you. Nothing in these Terms limits any rights you have that cannot be limited or waived under applicable law.

14. Disclaimer

Your use of the Services is at your sole risk. The Services are provided on an "AS IS" and "AS AVAILABLE" basis. The Services are provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

VideoDraft AI, its subsidiaries, affiliates, and its licensors do not warrant that a) the Services will function uninterrupted, secure, or available at any particular time or location; b) any errors or defects will be corrected; c) the Services are free of viruses or other harmful components; or d) the results of using the Services will meet your requirements.

15. Indemnification

You agree to indemnify, defend, and hold harmless VideoDraft AI Inc. and its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (i) your access to or use of the Services; (ii) your User Content or any content you generate, including any claim that it infringes or violates the rights of a third party or applicable law; or (iii) your violation of these Terms, our Acceptable Use Policy, or any applicable law. We reserve the right to assume the exclusive defense of any matter subject to indemnification, in which case you agree to cooperate with us.

16. Governing Law and Dispute Resolution

These Terms shall be governed and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

For international users: any disputes may be resolved via binding arbitration in the United States, unless your local laws prohibit it.

To the fullest extent permitted by applicable law, any dispute will be resolved on an individual basis, and you and VideoDraft AI Inc. waive any right to participate in a class, collective, or representative action. This waiver does not apply where it is prohibited by the law that governs your relationship with us.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect.

17. Changes to Services

We reserve the right to withdraw or amend our Services, and any service or material we provide via the Services, in our sole discretion without notice. We will not be liable if, for any reason, all or any part of the Services are unavailable at any time or for any period.
